Re-structuring, mergers and acquisitions

In today's competitive world, businesses that stand still lose their competitive edge. Moving forward inevitably means making changes to meet operational needs and deliver first class service and this can have a significant impact on employees.

A new organisation structure, downsizing, outsourcing and mergers and acquisitions are major changes which will require employers to manage change effectively. Whether it be contract change resulting from a business restructure, redundancies or business transfers, employers will need to plan for change, communicate and consult with employees and their representatives, address their concerns and ensure legal rights are not infringed.

Addressing the 'employment' aspect in effecting change is just as critical as the business issues because a successful business relies on retaining an engaged, motivated and skilled workforce, and change badly handled can be both an employee relations and public relations nightmare.

We have worked in partnership with a number of clients to implement change successfully by:

• Assisting with the analysis of the business plan so employment implications are understood from the outset
• Assessing the financial and non-financial impacts that will result from change
• Advising on indemnities required to reduce and apportion risk in an appropriate way
• Putting an action plan in place to ensure all the relevant steps are taken, in sequence and on time
• Advising on information and consultation with employees and their representatives
• Ensuring every step and decision is documented to provide an audit trail
• Advising on post change management, i.e. managing the survivors in redundancy situations and integrating the workforce where outsourcing takes place or organisations merge
